How Vendraa values UK care businesses

Our initial view considers sustainable earnings, weekly delivered hours, management depth, customer concentration, staffing, contract terms, cash conversion and relevant regulatory history. An experienced buyer may value two similar-turnover providers very differently.

Stage 2 · Detailed assessment

What a buyer really acquires: Buyer-Adjusted EBITDA

The automatic calculator is only a first indication. A prospective purchaser will analyse sustainable profit after allowing for necessary replacement costs and defensible adjustments. Vendraa prepares a structured bridge from reported EBITDA to an evidence-backed, buyer-adjusted result.

Costs we may deduct

  • Unpaid owner acting as Registered Manager: allow for a commercially realistic replacement salary, employer NIC, pension, recruitment and transition costs where applicable.
  • Under-resourced management: account for roles that will be required after the sale.
  • Other ongoing obligations: identify expenses omitted or understated in accounts.

Costs we may add back

  • Personal or discretionary expenses: only where identifiable, removable and supported by evidence.
  • Genuine one-off costs: such as exceptional, non-recurring professional fees.
  • Over-market owner remuneration: only the excess over the full cost of replacing the actual duties.

Illustration: £150,000 reported EBITDA − £38,000 replacement salary − £6,000 illustrative on-costs + £8,000 verified personal expense adjustment + £5,000 genuinely exceptional costs + £7,000 removable overheads = £126,000 buyer-adjusted EBITDA. No adjustment is automatically accepted; the figures must be substantiated, and avoid double counting.

We separate standalone buyer-adjusted EBITDA from buyer-specific synergies. Savings achievable only by a particular acquirer should not automatically increase the headline asking valuation. We also consider CQC registration and Registered Manager continuity for providers in England, plus cash, debt and working-capital requirements.
