What determines the value of a UK homecare company?

Two businesses with similar turnover can have very different values. Buyers assess the sustainability of earnings, management independence, contract mix, care quality, staffing and future growth as well as the financial statements.

The EBITDA approach

An indicative enterprise value can be estimated by multiplying maintainable EBITDA by a risk-adjusted multiple. Vendraa has discussed 1–4× EBITDA as an initial conversation range for some smaller businesses, but this is not an independently verified UK market benchmark and is not an appraisal of any particular company.

An illustrative calculation

If a company produces £200,000 maintainable EBITDA and a hypothetical buyer applies 3×, the indicative enterprise value would be £600,000 before adjustments for cash, debt, working capital, transaction structure and other deal-specific terms. A buyer could apply a materially different multiple.

Information to prepare

  • Recent turnover and monthly management accounts
  • Adjusted profit and owners’ remuneration
  • Weekly care hours, fees and gross margins
  • Client and commissioner concentration
  • Staffing and registered management arrangements
  • Compliance reports and any outstanding risks

What happens after an initial enquiry?

We discuss the company’s location, size, turnover, earnings and management structure, then identify which supporting records would be needed to reach a defensible valuation. An initial discussion is not a guaranteed offer or binding valuation.

What is buyer-adjusted EBITDA? An owner who is also an unpaid Registered Manager may need to be replaced at a market-rate cost. Genuine non-recurring or personal costs may sometimes be added back. Vendraa reviews both sides rather than assuming reported profit is the buyer’s profit. Request a Buyer-Adjusted EBITDA review.
