A different way to sell homecare businesses

We only sell homecare businesses. We know why sales go wrong.

Our team has been involved in more than 60 proposed homecare business sale transactions, giving us first-hand insight into why proposed sales can stall. That experience showed us the same recurring problems: incomplete financial and operational information, unrealistic valuations, protracted processes and the disruption a proposed sale can cause to a care team. We built Vendraa to do it differently.

If you're selling a homecare or domiciliary care business, you deserve a clear valuation, a properly prepared sale and a process designed around completion — not just a listing.

No fees upfrontWe do not charge sellers upfront. Our standard selling commission is payable only on successful completion, under the agreed terms.
No inflated asking pricesWe don't begin by asking what you hope to receive. We examine trading performance, costs, operational risks and what a qualified buyer is likely to pay.
No surprise marketing extrasEmails, buyer outreach and agreed marketing activity are included in our success-based commission — no separate sponsored-promotion charges.

How we sell your business

  1. Understand and valueCollect and analyse operational and financial information, including adjustments a buyer will make to earnings.
  2. Prepare the complete buyer packOrganise the management information, key contracts and documents that buyers and their advisers need for due diligence.
  3. Agree the structure and timescalesSet out the proposed transaction structure, expectations and practical milestones with you.
  4. Approach prequalified buyersIntroduce the opportunity discreetly to buyers with a credible capacity to transact.
  5. Maintain an agreed timetableCoordinate information requests, negotiations and due-diligence milestones.
  6. See the sale throughWork alongside your chosen professional advisers to support the transaction through completion.
  7. Protect your team and continuity of carePlan communication and change carefully, recognising that staff retention and care quality are central to business value.
  8. Avoid unnecessary disruptionKeep the sale confidential and well managed; an unsuccessful process can unsettle staff and weaken the business.

Why preparation matters. In our team's experience, a substantial proportion of proposed transactions fail to complete. We have seen how a poorly managed sale can leave a care business worse off. We designed our process to reduce those avoidable risks — without promising that every transaction will complete.

We only get paid when your business sells. There is no fee to begin the process, and we do not charge separately for agreed buyer emails or sponsored marketing. Any commission and scope are agreed in writing before work begins.

Built from experience across 60+ proposed homecare transactions — with first-hand insight into the challenges of completing a sale.

After buying more than 30 businesses through traditional sales agents, we saw the same frustrating problems again and again. Transactions were more drawn-out and difficult than they needed to be — and most of the issues could have been prevented before a business ever went to market.

01

Little or no management information

Buyers couldn't get the financial, staffing, operational and contractual information needed to assess an acquisition. Solicitors spent weeks requesting information that should have existed from day one.

02

Unrealistic asking prices

Businesses were too often valued on what an owner wanted to take away — rather than on actual performance, risk, earnings and what a buyer would pay.

03

Deals that never completed

In our acquisition experience, we believe these two fundamentals contributed to around 80% of businesses we reviewed not selling. We created a better process to tackle both.

We don't just list your business. We get it ready to sell.

Most brokers begin by advertising. We begin with preparation. We work with you to organise and present the information a serious buyer and their professional advisers will need to make an informed decision.

  • We help gather, structure and present your management information
  • We flag missing documents and potential issues early
  • Buyers see the facts, not just a sales brochure
  • Less back-and-forth and fewer avoidable surprises
  • You keep your completed management pack — even if you don't sell through us

1–4×Illustrative multiple of maintainable annual EBITDA

A broad ballpark, not a guaranteed valuation or offer.

Your business isn't worth what you need it to be worth.

It's worth what a buyer will pay, based on the business itself. We assess turnover, average or maintainable EBITDA, management independence, client and contract mix, workforce, growth, regulatory standing and risk.

As a broad starting point, some businesses may attract approximately 1–4 times maintainable annual EBITDA. The actual price may sit outside that range depending on the circumstances. We won't inflate a valuation just to win an instruction.

The important questions, answered.

Do I pay anything before my business sells?

No. There are no upfront preparation or marketing fees for our standard seller service. Normally a success fee would become payable only on completion, under agreed written terms. Our first 15 founding clients are offered no success fee either.

What if I decide not to sell?

You keep the management information and documents prepared with you, subject to third-party confidentiality and licensing restrictions. You are not tied into a long-term sole-agency agreement.

Do you prepare the management information for me?

Yes. We help you collect, organise, check for completeness and present your existing information in a structured, buyer-ready pack. Financial statements and legal advice still need to be supplied or confirmed by your accountant and solicitor where appropriate.

How do you value my care business?

We review maintainable EBITDA and the underlying operational and commercial facts. A 1–4× multiple is a general starting point only: actual pricing reflects the business, buyer interest and prevailing market conditions.

Do you accept buyers with deferred payment terms?

We prioritise funded purchasers. We can consider all-cash transactions or part-cash on completion with deferred consideration where the terms, security and evidence of funds are suitable.

Can you guarantee completion in six weeks?

No intermediary can guarantee a completion date. We set ambitious targets — including around 14 days for due diligence and six weeks to completion — but actual times depend on the business, buyer, advisers, financing and regulatory requirements.
